1. Agreement to Terms

Welcome to Match with Grace. These Terms of Service ("Terms") constitute a legally binding agreement between you and Match with Grace ("we," "our," or "us") regarding your use of our voice AI matching service that connects families seeking care with qualified carers.

By accessing or using our service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our service.

2. Description of Service

Match with Grace provides an AI-powered matching platform that:

• Uses voice AI technology (Grace) to understand care needs and preferences
• Matches families seeking care with verified, qualified carers
• Facilitates initial introductions between families and carers
• Provides tools for managing visits, payments, and communication after a match is made

3. Eligibility

To use our service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Be located in the United Kingdom (or other jurisdictions where we operate)
• Provide accurate, current, and complete information when registering

For carers, you must also:

• Have valid certifications and qualifications relevant to care provision
• Pass our background check and verification process
• Provide professional references that we can verify

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Notify us immediately of any unauthorized use of your account
• Ensure that all information you provide is accurate and kept up-to-date
• Not share your account credentials with any third party

5. Use of Service

5.1 Permitted Use

You may use our service solely for lawful purposes and in accordance with these Terms. You agree to use the service only to:

• Find and connect with carers or families seeking care
• Communicate with matched parties in good faith
• Manage care arrangements through our platform tools

5.2 Prohibited Activities

You agree not to:

• Use the service for any illegal or unauthorized purpose
• Provide false, misleading, or fraudulent information
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Attempt to circumvent our matching process or fees
• Interfere with or disrupt the service or servers
• Use automated systems to access the service without authorization
• Copy, modify, or create derivative works of our service
• Reverse engineer or attempt to extract source code

6. Fees and Payment

Matching Service: Our matching service is free to use. There is no charge for speaking with Grace, receiving matches, or reviewing carers.

Placement Fee: If you choose to hire a carer matched through our service, you will be charged a one-time placement fee equal to 15% of the carer's first-year cost. This fee is only charged after you have successfully hired a carer and is due within 30 days of the hiring decision.

Payment Processing: All fees are processed through secure payment processors. You agree to provide accurate payment information and authorize us to charge the applicable fees.

Refunds: Placement fees are non-refundable once a carer has been hired. If you have concerns about a match, please contact us at grace@matchwithgrace.com to discuss your situation.

7. Carer Verification and Background Checks

We perform background checks (DBS checks) and verify certifications for all carers on our platform. However:

• We cannot guarantee that all information provided by carers is accurate or complete
• You are responsible for conducting your own due diligence when selecting a carer
• We recommend checking references, and verifying qualifications independently

We reserve the right to remove any carer from our platform if we discover inaccurate information or violations of these Terms.

8. Voice AI and Data Processing

Our service uses voice AI technology (Grace) to understand your needs and preferences for matching purposes only. By using our service, you consent to:

• The recording and processing of your voice interactions with Grace
• The use of AI technology to analyze and understand your care needs solely for matching purposes
• The storage of your conversations for the purpose of providing matching services

Important: Grace is designed to understand your needs for matching purposes only. Grace does not provide medical, care, or health advice. We do not use your conversations to provide clinical guidance, care recommendations, or treatment advice. All care decisions must be made independently by you and your healthcare providers.

9. Limitation of Liability

Service Limitations: Match with Grace is a matching platform only. We do not:

• Employ, supervise, manage, or administer carers
• Provide medical, care, health, or clinical advice to patients, carers, or families
• Administer, direct, control, or oversee any care services
• Make decisions about care plans, treatments, or medical interventions
• Provide or guarantee the quality, safety, or appropriateness of care services
• Act as an agent, representative, or intermediary for families or carers
• Assume any responsibility for the actions, decisions, or conduct of matched carers or families

No Warranty: Our service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• The service will be uninterrupted, secure, or error-free
• Any matches will result in successful care arrangements
• The service will meet your specific requirements
• Matched carers are suitable for your specific needs or circumstances

No Responsibility for Care: Match with Grace assumes no responsibility or liability for:

• The quality, safety, or appropriateness of care provided by matched carers
• Any injuries, damages, or losses resulting from care arrangements
• Medical decisions, care plans, or treatment recommendations made by carers or families
• Any disputes, disagreements, or issues between families and carers
• The accuracy or completeness of information provided by carers or families

Limitation of Liability: To the maximum extent permitted by law, Match with Grace shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our service or any care arrangements made through our platform.

User Responsibility: You acknowledge and agree that you are solely responsible for:

• Making independent decisions about whether to engage matched carers
• Conducting your own due diligence and reference checks
• Verifying qualifications, certifications, and suitability of carers
• All care decisions and arrangements made with matched carers
• Ensuring compliance with all applicable laws and regulations regarding care provision

10. Indemnification

You agree to indemnify, defend, and hold harmless Match with Grace and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Any care arrangements or relationships formed through our platform

11. Intellectual Property

The service, including all content, features, functionality, and AI technology (including Grace), is owned by Match with Grace and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of the service without our prior written consent.

12. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the service will cease immediately. Provisions of these Terms that by their nature should survive termination will survive, including limitations of liability and indemnification obligations.

13. Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the service will be subject to the exclusive jurisdiction of the courts of England and Wales.

If you have a dispute with a carer or family matched through our service, you are responsible for resolving such disputes directly with the other party. We are not responsible for and do not participate in disputes between users.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the service after such changes constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
